A leading international law firm is seeking to recruit a talented associate with 2 years of relevant experience to join its National Security & Government Contracts team in its New York office. Responsibilities
- Advise clients on a broad range of national security and government contracts matters, including economic sanctions, export controls, foreign investment reviews, and regulatory compliance issues.
- Provide guidance on matters involving the Committee on Foreign Investment in the United States (CFIUS), the Outbound Investment Security Program (OISP), and related national security regulatory frameworks.
- Draft, review, and negotiate transaction agreements, mitigation agreements, compliance policies, and other regulatory and transactional documentation.
- Manage and coordinate regulatory filings and submissions to government agencies, including CFIUS, the Defense Counterintelligence and Security Agency (DCSA), the Bureau of Industry and Security (BIS), the Directorate of Defense Trade Controls (DDTC), and the Office of Foreign Assets Control (OFAC).
- Conduct and oversee due diligence exercises relating to mergers, acquisitions, investments, and government contracting matters, identifying national security, export control, sanctions, and foreign ownership risks.
- Work closely with clients, government agencies, and internal teams across multiple practice areas to ensure seamless execution of complex regulatory and transactional matters.
- Support partners and senior lawyers on high-profile national security, government contracts, and cross-border transactions while developing increasing responsibility for client relationships and day-to-day matter management.
Qualifications
- Juris Doctor (JD) from an accredited U.S. law school.
- Admission to the New York Bar and in good standing.
- Minimum of 2 years’ experience at a reputable law firm, with strong exposure to national security, government contracts, regulatory, or international trade matters. Counsel-level also being considered.
- Experience advising on economic sanctions, export controls, foreign investment reviews, or related regulatory frameworks.
- Experience or strong interest in matters involving CFIUS, OISP, DCSA, BIS, DDTC, and OFAC.
- Experience drafting and negotiating regulatory, compliance, and transactional documentation.
- Strong understanding of national security regulations, government contracting principles, and risk management considerations.
- Excellent drafting, analytical, negotiation, and organisational skills.
- Ability to manage competing priorities and deadlines in a fast-paced environment.
- Strong academic credentials and a proactive, collaborative approach to client service and teamwork.
