Capital Markets Associate

The New York, NY office of an elite international law firm is seeking an associate to join its nationally recognized Capital Markets practice group. This is an exciting opportunity to work on sophisticated domestic and cross-border capital markets transactions at a leading law firm, advising issuers, underwriters, and financial institutions on complex securities offerings and regulatory matters.

Responsibilities

• Advise issuers, underwriters, and financial institutions on equity and debt capital markets transactions, including IPOs, follow-on offerings, investment-grade and high-yield debt offerings, and private placements.
• Assist clients with SEC reporting obligations, corporate governance, and securities law compliance.
• Conduct legal due diligence and draft and negotiate offering documents, underwriting agreements, and ancillary transaction documents.
• Provide strategic advice on disclosure requirements, stock exchange rules, and ongoing public company compliance matters.
• Collaborate with colleagues across corporate, finance, tax, and other practice groups on complex transactional matters.

Qualifications

• Experience advising on capital markets transactions at a leading law firm.
• Excellent academic credentials and professional references.
• New York Bar membership strongly preferred.
• Exceptional analytical, drafting, and communication skills.
