Transaction Advisory Services Manager

Location: Boston, MA or Providence, RI

Work Arrangement: Hybrid

Employment Type: Full-Time


A growing CPA and advisory firm is looking for an experienced Transaction Advisory Services Manager to join its expanding deals practice.


This is an opportunity to work directly with investors, business owners and deal teams on acquisitions and disposals across the middle market. You'll take a lead role on financial due diligence assignments, helping clients understand the quality of a target's earnings, identify financial risks and determine the issues that could ultimately influence valuation, deal structure and purchase price.


The position would suit someone coming from Transaction Advisory, Financial Due Diligence or Audit who wants greater ownership of transactions and direct exposure to clients.


The Work

You'll manage both buy-side and sell-side due diligence engagements, taking responsibility for assignments from initial scoping through analysis and final presentation of findings.

Your work will include:

  • Lead financial due diligence engagements from planning through completion.
  • Analyse historical and projected financial performance.
  • Perform detailed Quality of Earnings (QoE) analysis.
  • Identify and assess EBITDA adjustments and normalization items.
  • Analyse working capital requirements and historical trends.
  • Identify debt-like items and other potential purchase price considerations.
  • Review revenue streams, margins and underlying cost structures.
  • Assess the quality and sustainability of earnings and cash flow.
  • Analyse financial and operational trends that could affect transaction value.
  • Identify potential liabilities, unusual items and deal-specific risks.
  • Evaluate cash, modified cash and accrual-basis financial information.
  • Perform cash-to-accrual conversions where required.
  • Assess financial and operational considerations that may arise following completion of a transaction.


Turning Analysis Into Deal Insight

This isn't simply a financial analysis position.

You'll be expected to understand what the numbers mean for the transaction and communicate that clearly to the people making the investment decision.

You'll help clients understand:

  • What's driving reported EBITDA.
  • Which earnings adjustments are genuinely sustainable.
  • How working capital could affect the transaction.
  • Potential purchase price adjustments.
  • Financial risks that may require further investigation.
  • Issues that could influence deal terms or structure.
  • Areas management or investors should consider before and after closing.

You'll prepare and review comprehensive due diligence reports covering Quality of Earnings, working capital and other key transaction findings.


Client & Deal Team Exposure

As Manager, you'll have significant interaction with the different parties involved in a transaction.

You'll work directly with:

  • Private equity investors.
  • Portfolio company leadership teams.
  • Corporate buyers and sellers.
  • Target company management.
  • Investment bankers.
  • Attorneys and external advisors.
  • Senior executives and finance teams.

You'll act as a primary point of contact throughout engagements, presenting findings and translating complex financial analysis into clear commercial conclusions.

You'll also collaborate with specialists across tax, valuation, IT and other advisory areas when transactions require additional expertise.


Leading the Team

Alongside managing transactions, you'll supervise and develop junior members of the advisory team.

Responsibilities will include:

  • Delegate financial analysis and diligence workstreams.
  • Review team members' analysis and supporting documentation.
  • Coach and develop junior professionals.
  • Provide regular technical and performance feedback.
  • Manage multiple engagements running concurrently.
  • Ensure transaction deadlines are achieved without compromising quality.
  • Contribute to improvements in the firm's due diligence methodology and internal training.


What We're Looking For

The successful candidate will have:

  • Bachelor's degree in Accounting, Finance or a related discipline.
  • 5 years of relevant accounting, finance or transaction experience.
  • CPA or CFA designation required.
  • Strong financial statement analysis and financial modelling capabilities.
  • Excellent understanding of cash, modified cash and US GAAP accrual accounting.
  • Ability to perform and understand cash-to-accrual conversions.
  • Advanced Excel skills.
  • Strong analytical and problem-solving capabilities.
  • Experience managing multiple projects and demanding transaction deadlines.
  • Confidence communicating directly with clients and senior stakeholders.
  • Strong written skills with the ability to prepare clear, commercially focused reports.

An audit background is advantageous but isn't essential.

Previous experience working with private equity firms and/or portfolio companies would also be beneficial but isn't a requirement.

Experience with Macabacus, QuickBooks or similar financial analysis and accounting platforms would be useful.
