Corporate Governance Manager
Dallas, TX (Las Colinas) — Hybrid, 3 days/week onsite
About the role
We're hiring a Corporate Governance Manager for a multi-strategy investment firm that owns and operates businesses across a wide range of industries (Sports, Data Centers, Oil & Gas, Health & Wellness) all under one privately held structure.
That structure is genuinely complex: multiple layers of holding companies, an international footprint that reaches into the UK and offshore jurisdictions, and a pace of entity formation, restructuring, and cross-border coordination that’s unique and interesting.
You'll report up into the Head of Corporate Governance, who's looking for a right hand to help drive strategy forward and manage the team.
This isn't an administrative seat. You'll decide how entities should be structured, build out board meeting protocol as the company brings on external directors, and coordinate governance across US, UK, and offshore teams.

What you'll do
- Manage and mentor a small governance team, including a lead specialist, balancing hands-on oversight with real coaching and development
- Own the intake and triage of governance requests coming in from across the business, including entity formation, dissolution, restructuring, and officer/director questions
- Draft and review governance documents that go beyond a template library, including bespoke resolutions and consents for non-standard situations
- Build out board meeting support from the ground up, including working with new external directors and establishing minute-taking and reporting protocols
- Coordinate closely with offshore and UK teams on cross-border entity governance
- Lead discrete projects tied to the company's growth and organizational changes, such as state filing and qualification work connected to office moves
- Help drive adoption of newly implemented governance technology and continue automating manual work in the function
- Partner with Legal, Tax, and Finance on new entity approvals and structuring decisions
What we're looking for
- 8 years of corporate governance, corporate legal, or paralegal experience, law firm experience combined with in-house experience is ideal, but strong law firm-only backgrounds are welcome too
- Must have prior experience directly managing people, not just delegating or overseeing project work
- Genuine hands-on experience designing governance documents and entity structures, not just executing from a template
- Comfort holding two things at once: managing your own workload while coaching others
- KYC or client/vendor onboarding experience is a plus but not required
- Texas notary certification is a plus
Compensation
- $160,000–$170,000 base, plus a 20% target cash bonus and flexible for the right candidate
