An AmLaw firm is seeking a Junior Fund Formation Associate to join its expanding Fund Formation Group in Boston. This is a unique opportunity for candidates looking to pivot into fund formation, even without prior experience in the practice area.
This role offers exposure to venture capital, growth equity, and private investment funds across the U.S. and internationally, with hands-on involvement throughout the full fund lifecycle, from structuring to closing.

About the Fund Formation Team
The team advises venture capital, growth equity, and other private investment funds across the U.S. and globally.
Associates play a key role in supporting clients through all stages of the fund lifecycle, including:
βοΈ Fund structuring and formation
βοΈ Governance and regulatory compliance
βοΈ Investor relations and negotiations
βοΈ Ongoing fund operations
Youβll collaborate closely with attorneys and clients while gaining exposure to the broader startup and venture capital ecosystem.
Key Responsibilities
β Assist in forming, structuring, and operating private investment funds
β Prepare offering materials and draft governing agreements (LPAs, LLC agreements, etc.)
β Process investor subscription documents and negotiate with investors
β Draft side letters and support fund closings
β Advise on governance, regulatory compliance, and investor relations matters
β Support general fund operations, including conflicts, compliance, and organizational matters
β Collaborate with partners and senior attorneys on client advisory work
Qualifications
β’ JD (2023β2025) from an accredited law school
β’ Admitted to or eligible to waive into the Massachusetts Bar
β’ Prior law firm or in-house experience preferred, but not required
β’ Strong interest in venture capital and fund formation
β’ Excellent academic credentials
β’ Strong analytical, writing, and drafting skills
β’ Ability to manage multiple projects effectively
β’ Strong communication and organizational skills
β’ Collaborative mindset and enthusiasm for working with innovative clients
β’ Intellectual curiosity and desire to develop expertise in fund formation
