About the Opportunity:
A nationally recognized law firm is seeking a Corporate Associate with 3β5 years of experience to join its Corporate Practice Group. This is an excellent opportunity for attorneys who enjoy representing high-growth technology companies, venture capital investors, private equity sponsors, and strategic buyers in sophisticated corporate transactions.
The role offers the opportunity to advise emerging growth companies throughout their business lifecycle, handle venture capital and private equity financings, provide general corporate counseling, and work on complex M&A transactions across innovative industries including AI, fintech, defense technology, healthcare, and life sciences.
Responsibilities:
- Advise emerging growth and high-growth technology companies on general corporate matters.
- Represent venture capital and private equity investors in financing transactions.
- Handle venture capital financings from seed through later-stage investment rounds.
- Work on mergers, acquisitions, and other strategic corporate transactions.
- Provide day-to-day corporate counseling to technology-focused clients.
- Draft, review, and negotiate transaction documents and corporate agreements.
- Collaborate with attorneys across multiple offices on sophisticated transactional matters.
- Support clients operating in AI, fintech, defense technology, healthcare, life sciences, and other innovative industries
Qualifications:
- 3β5 years of experience in Corporate, Emerging Companies & Venture Capital, or M&A.
- Experience representing emerging growth companies, venture capital funds, and private equity investors.
- Strong background handling venture financings and technology-focused M&A transactions.
- Large law firm experience preferred.
- Excellent drafting, analytical, project management, and communication skills.
- Ability to manage multiple transactions in a fast-paced environment.
- Strong academic credentials from a top-tier law school.
- Juris Doctor (J.D.) from an ABA-accredited law school and active bar admission (or eligibility to obtain admission promptly) in the applicable jurisdiction
