What are the responsibilities and job description for the Corporate Counsel position at Forge Search?
We are partnering with a growing specialty finance company looking for a Corporate Counsel to support day-to-day legal, compliance, and contract.
This is a high-impact in-house role with direct exposure to executive leadership, broad responsibility across contracts, compliance, and litigation, and clear growth trajectory.
This role is execution-oriented and hands-on, focused on managing legal risk, supporting compliance operations, and reviewing and negotiating contracts.
ESSENTIAL DUTIES & FUNCTIONS:
- Contract Review & Negotiation
- Draft, review, and negotiate dealer agreements, vendor agreements, and customer agreements
- Standardize contract templates and reduce legal friction in sales onboarding
- Manage contract lifecycle and risk exposure
- Compliance Oversight
- Oversee and support the company’s compliance program (with Compliance Manager)
- Ensure adherence to applicable consumer finance regulations
- Assist with audit preparation and regulatory inquiries
- Maintain and update policies and procedures
- Consumer Litigation & Legal Issue Management
- Manage and coordinate consumer complaints and disputes and outside counsel on litigation matters
- Provide internal guidance on legal exposure and resolution strategies
- Support documentation and defensibility of company practices
- Bankruptcy & Collections Support
- Provide legal support related to bankruptcy filings related to customers, recovery strategies, and claim filings
- Coordinate with outside counsel as needed
- Internal Legal Support
- Serve as day-to-day legal advisor to leadership team
- Provide practical, business-oriented legal guidance
- Identify areas of legal risk and recommend operational improvements
- Help build a scalable internal legal function
QUALIFICATIONS:
- J.D. from an accredited law school
- Licensed to practice law in SC
- 3–8 years of experience, ideally with Consumer finance, creditor rights, or financial services
- Strong experience in contract drafting and negotiation, compliance or regulatory exposure
- Experience working with or managing outside counsel
- Practical, business-minded (not overly academic or theoretical)
- Comfortable operating without large legal team infrastructure
- Strong negotiating skills, attention to detail, and high level of execution
