Fund Formation Attorney (Private Equity)
Overview:
A leading private equity firm is seeking an experienced Fund Formation Attorney to join its in-house legal team. This role will play a central part in structuring and launching private equity funds and related investment vehicles, partnering closely with senior leadership and external counsel. The ideal candidate will bring top-tier law firm training and deep private equity fund formation experience.
Key Responsibilities:
- Lead and manage the formation of private equity funds and related structures, including parallel funds, master feeder funds, and co-investment vehicles
- Draft, review, and negotiate core fund documentation, including: Limited Partnership Agreements (LPAs), Private Placement Memoranda (PPMs), subscription agreements, side letters with institutional investors
- Serve as a primary point of contact for external counsel on fund formation matters
- Advise senior management on fund structuring, investor negotiations, and market terms
- Support fund closings, amendments, and ongoing fund maintenance matters
- Collaborate with internal teams across investment, finance, tax, and compliance
- Monitor regulatory developments impacting private equity fund structures and investor requirements
- Assist with management company, GP, and carried interest vehicle matters as needed
Qualifications:
- J.D. from a top-tier law school; active bar membership in good standing
- 4 -6 years of private equity fund formation experience at a leading Am Law 100 law firm
- Deep familiarity with private equity fund documentation and institutional LP negotiations
- Strong experience managing multiple fund launches and complex investor issues
- Excellent drafting skills and commercial judgment
- Ability to operate independently in a fast-paced, deal-driven environment
