Position Summary
EQV is seeking a Contracts Manager to lead the full lifecycle management of commercial contracts supporting its oil and gas operations, capital projects, field operations, and strategic procurement initiatives. Reporting to the Director of Corporate Operations, this role ensures that all contractual agreements are structured, negotiated, administered, and executed in alignment with company objectives, regulatory requirements, risk management standards, and cost-control targets.
The Contracts Manager serves as a key liaison between Operations, Supply Chain, Legal, Finance, Engineering, and external contractors to develop commercial strategies that maximize value, mitigate risk, and support safe and efficient project delivery. The role oversees contract compliance, change management, claims resolution, supplier performance, and continuous improvement of contracting processes across the organization.
Key Responsibilities
Contracts Administration & Lifecycle Management
• Serve as the primary owner of the contract lifecycle: intake, review, execution, storage, renewal, and termination
• Manage the portfolio of upstream operational contracts, including Master Service Agreements (MSAs) and service contracts supporting workovers, plugging, and other field activities
• Track key dates, milestones, obligations, and expirations across the contract portfolio, proactively notifying stakeholders of upcoming renewal or action deadliness
• Ensure each contract file is complete and audit ready, including fully executed signature pages, supporting documentation (COIs, W-9s), exhibits, schedules, and amendments
• Coordinate signature workflows and ensure fully executed agreements are properly filed and readily accessible
Process & System Building
• Design and implement a centralized contract management system, including a structured repository, naming conventions, metadata standards, and reporting
• Build and document a standardized contract review and approval process, including intake, review checklists, cross functional approval routing, redline management, and contract administration following execution
• Develop and maintain template libraries for commonly used agreements to improve consistency and accelerate routine contracting
• Identify opportunities to streamline contract workflows through technology, automation, and process improvements, and lead the implementation of selected solutions
Review, Negotiation & Approvals
• Perform the initial review and redline of routine contracts, including MSAs, NDAs, and vendor agreements, escalating material issues to the Vice President of Legal
• Coordinate the contract review and approval process, ensuring agreements are routed to the appropriate stakeholders across Land, Operations, Accounting, Marketing, and Legal prior to execution
• Coordinate, track, and document internal approvals to ensure a seamless transition from review through execution
• Negotiate routine commercial and risk terms with counterparties, including indemnity, insurance, payment terms, liability limitations, and termination provisions, within the parameters established by the Vice President of Legal
• Serve as the primary point of contact for internal stakeholders and counterparties regarding contract status, terms, and obligations
• Support the Vice President of Legal on complex transactions, including acquisitions and divestitures, by managing diligence, contract inventories, and assignment and integration activities following closing
Compliance & Reporting
• Maintain audit ready records of contract status, key terms, counterparty information, and obligations
• Prepare regular reports for leadership on contract activity, upcoming expirations, and outstanding obligations
• Support regulatory and compliance reviews, including responses to information requests, audits, and acquisition diligence activities
Required Qualifications
• Bachelor's degree in a related field (or equivalent professional experience)
• 5 years of contract management, paralegal, contract administration, or related experience, ideally in upstream oil and gas or the energy industry
• Strong knowledge of common upstream oil and gas agreements, including MSAs, JOAs, surface use, rights-of-way, and service contracts
• Experience negotiating commercial and risk terms with counterparties, including indemnity, insurance, payment terms, and liability provisions
• Strong attention to detail and the ability to manage a high volume of agreements with competing deadlines
• Excellent written and verbal communication skills, with the ability to work effectively across Operations, Accounting, Land, Legal, and external counterparties
• Proficiency with Microsoft Office and experience with SharePoint, document management systems, or contract lifecycle management (CLM) platforms
Preferred Qualifications
• Paralegal certification, Master of Legal Studies, or equivalent credential
• Experience supporting acquisitions, divestitures, or asset integrations, including contract inventories, assignments, and contract administration following closing
• Experience developing and maintaining contract templates and playbooks
• Familiarity with contract lifecycle management software, such as Ironclad, Agiloft, ContractWorks, or similar contract management platforms
