GENERAL PURPOSE


Energy Fuels is seeking a legal professional with 3-5 years of experience to join its legal team as Associate Legal Counsel. This role provides legal support across a broad range of matters and offers the opportunity to develop a deep understanding of the Company’s business, regulatory environment, and strategic objectives.

The position reports to the Company’s Corporate Counsel and Corporate Secretary and works closely with senior legal leadership and cross‑functional stakeholders. The successful candidate will demonstrate sound judgment, strong communication skills, and the ability to balance complex legal, regulatory, technical and business considerations in a fast-paced, entrepreneurial public company environment.

This position is based in Energy Fuels’ Lakewood, Colorado office and requires regular in-office collaboration with executive leadership and business teams.


ESSENTIAL DUTIES/RESPONSIBILITIES


Transactional &
General Legal Support

  • Draft, review and negotiate a range of contracts, such as NDAs, supply, contractor, consulting, disposal, sale, purchase and other agreements, across U.S. business operations
  • Support corporate transactions by assisting with legal due diligence, document review and preparation of transaction‑related materials
  • Draft, review and distribute correspondence and other legal documents on behalf of the Legal Department
  • Support or oversee administration of the Company’s San Juan County Clean Energy Foundation, including attendance at Advisory Board quarterly meetings, preparation of meeting minutes and grant materials, advisory duties and correspondence with grant applicants
  • Collaborate closely with cross‑functional teams, including operations, finance, supply chain, government affairs, sustainability, and human resources

Corporate
Governance, Securities & Secretary Support

  • Support the Corporate Counsel and Corporate Secretary in maintaining the Company’s corporate governance framework
  • Prepare, organize, finalize, and file board and committee materials, including meeting notices, agendas, minutes, resolutions and written consents
  • Assist with annual subsidiary governance matters, including entity maintenance and required approvals
  • Assist with the drafting, preparation, and filing of continuous and periodic disclosure documents, including public company filings and securities‑related certifications
  • Support management of insider trading compliance, including blackout administration and insider reporting obligations
  • Assist with preparation and coordination of board meetings, committee meetings, and related corporate governance activities
  • Assist in administering/maintaining Legal Department platforms, including contract management platform LinkSquares, Diligent (board management) and TSX Trust (employee equity)
  • Assist in shareholder requests, such as legend removals and lost share certificate replacements, and in duties requiring transfer agent support

Compliance & Risk Management

  • Support the administration and ongoing enhancement of the Company’s corporate compliance programs, policies, and procedures
  • Assist with monitoring compliance with applicable laws and regulations, including securities laws, ethics and conduct standards, and internal corporate policies
  • Help coordinate compliance training initiatives, certifications, and periodic acknowledgements (e.g., Code of Business Conduct and Ethics, Anti-Bribery and Anti-Corruption Policy, Insider Trading Policy)
  • Assist with internal compliance reviews, audits, and regulatory inquiries, including tracking remediation efforts and follow‑up actions
  • Support maintenance of compliance registers, risk logs, and management or board‑level compliance reporting
  • Perform other duties as assigned


MINIMUM QUALIFICATIONS/EDUCATION:


  • Juris Doctor from an accredited law school; admission to practice in at least one U.S. jurisdiction
  • Minimum 3-5 years of relevant legal experience, with a combination of large law firm and in-house experience preferred
  • Strong background in commercial contracting, regulatory compliance and corporate law
  • Proven ability to manage complex, high-stakes matters with sound judgment and discretion
  • Reliable in executing and multitasking within strict deadlines
  • Excellent communication and interpersonal skills, with the ability to advise and influence senior executives
  • Practical, solutions-oriented mindset with strong ownership and accountability
  • Ability to collaborate effectively

Colorado Compliance Notices

Compensation Transparency (Colorado Compliance)

Salary Range: $140,000-$170,000 annually. Actual compensation may vary based on experience, qualifications, location and internal equity.

Bonus Eligibility: This position may be eligible for an annual discretionary performance bonus and Long-Term equity.
