Corporate M&A Associate (5-6Years) – Denver

Direct Counsel is representing a nationally recognized law firm seeking a Corporate M&A Associate to join its Corporate & Business practice in Denver. This role offers the opportunity to work on sophisticated middle-market transactions with a collaborative team advising entrepreneurs, private equity sponsors, and public and private companies.

Key Responsibilities

• Assist with mergers and acquisitions and private equity transactions for middle-market and lower middle-market deals

• Draft and negotiate transaction documents, including purchase agreements and ancillary deal documentation

• Conduct and manage due diligence and coordinate transaction closings

• Advise clients on corporate governance and strategic business matters

• Work closely with deal teams and clients throughout the entire transaction lifecycle

Qualifications

• J.D. from an accredited law school with strong academic credentials

• 5–6 years of corporate transactional experience, particularly in M&A and private equity transactions

• Experience working in a law firm environment on complex business transactions

• Strong research, drafting, analytical, and communication skills

• Ability to manage multiple matters and work effectively in a collaborative, fast-paced environment

• Experience providing outside general counsel support is a plus

Compensation & Benefits

Salary range: $290,000 – $305,000, depending on experience. Associates may also be eligible for hours-based bonuses.
