Direct Counsel is seeking a Technology Transactions Associate Attorney (Mid-to-Senior Level) to join a national law firm in multiple U.S. offices.

Overview
Direct Counsel is recruiting a mid-to-senior level technology transactions associate attorney with experience in intellectual property and commercial matters. Candidates will work on licensing, trade secret protection, privacy, and agreements involving development, manufacturing, tolling, supply, distribution, and other services. The role also involves evaluating IP and technology issues in corporate transactions such as mergers & acquisitions, corporate carve-outs, LBOs, and debt financings.

Key Responsibilities

• Draft, review, and negotiate commercial and technology agreements.

• Advise clients on IP, privacy, and technology matters in corporate transactions.

• Support due diligence and transactional strategy for mergers, acquisitions, and financings.

• Collaborate closely with partners, clients, and internal teams on complex matters.

Qualifications

• 3–6 years of experience in technology transactions and commercial IP matters.

• Experience with licensing, trade secrets, privacy, and corporate tech issues.

• JD from an accredited law school and active membership in the bar of the state where practicing.

• Strong drafting, analytical, and communication skills.

• Ability to manage multiple matters efficiently and work collaboratively in a team environment.

Compensation
The anticipated salary range for this role is $265,000 – $390,000, depending on experience and location.
