Structured Finance Associate Attorney

Direct Counsel is seeking a Structured Finance Associate Attorney to join a prestigious Am Law firm in Los Angeles, California.

This is an outstanding opportunity for an attorney with 2-6 years of transactional or finance experience to join a nationally recognized Structured Finance practice. The team advises on some of the industry's most innovative and complex financing transactions, including residential mortgage-backed securities (RMBS), commercial mortgage-backed securities (CMBS), asset-backed securities (ABS), collateralized loan obligations (CLOs), repackagings, re-securitizations, and other sophisticated structured finance transactions.

Responsibilities

• Represent clients in sophisticated structured finance transactions involving RMBS, CMBS, ABS, CLOs, and other complex financing structures.
• Draft, review, and negotiate transaction documents for structured finance and securitization matters.
• Assist with the structuring, execution, and closing of innovative financing transactions.
• Conduct legal due diligence and analyze transaction-related risks.
• Advise clients on regulatory and compliance issues affecting structured finance transactions.
• Coordinate with multidisciplinary legal teams to manage complex transactions from inception through closing.
• Manage multiple transactions simultaneously while providing practical, business-focused legal advice.
• Contribute to a collaborative, team-oriented practice dedicated to exceptional client service.

Qualifications

• J.D. from an ABA-accredited law school.
• Active membership in the California State Bar or eligibility to practice in the Los Angeles office.
• 2-6 years of transactional or finance experience at a major law firm.
• Experience with structured finance, securitizations, finance transactions, or other sophisticated transactional matters is preferred.
• Strong drafting, negotiation, analytical, and communication skills.
• Excellent academic credentials.
• Outstanding organizational and project management abilities.
• Highly motivated with the ability to manage multiple complex transactions in a fast-paced environment.
• Strong commitment to teamwork and exceptional client service.

Compensation & Benefits

• Salary: $235,000-$390,000, commensurate with experience and qualifications.
