About the Role
Direct Counsel is partnering with a leading Am Law firm to identify a transactional associate to join its growing Strategic Transactions practice. This role focuses on advising clients in the aerospace, defense, and next-generation energy sectors on complex, high-impact transactions. The position offers the opportunity to work closely with sophisticated clients on cutting-edge deals in highly regulated and innovative industries.
Key Responsibilities
- Draft and negotiate complex commercial agreements, including contracts, licenses, collaboration agreements, and development agreements
- Conduct legal research and provide strategic analysis to support transactional matters
- Collaborate with attorneys, business professionals, and technical specialists to structure and execute transactions
- Participate in client meetings, negotiations, and deal execution
- Maintain strong client relationships through responsive communication and practical legal guidance
- Ensure compliance with applicable laws and regulatory frameworks
- Support business development and contribute to firm initiatives and thought leadership
Qualifications
- 3–6 years of transactional experience, preferably at an Am Law 100 firm
- Experience drafting and negotiating complex commercial agreements
- Exposure to aerospace, defense, or energy sectors is strongly preferred
- Strong academic credentials (minimum GPA of 3.5 preferred)
- Excellent drafting, analytical, and problem-solving skills
- Strong communication and organizational abilities
- Ability to manage multiple priorities in a fast-paced environment
- Interest in working with technical clients, including engineers and in-house counsel
Requirements
- J.D. from an ABA-accredited law school
- Active membership in the DC Bar or ability to become licensed
Work Environment
- Hybrid work model with regular in-office presence and some flexibility for remote work
Compensation & Benefits
This position offers a competitive salary range of $235,000 – $365,000, depending on experience, qualifications, and market factors. A comprehensive benefits package is also provided.
