Direct Counsel is seeking a Securities Regulation & Corporate Governance Associate to join a premier corporate governance and securities advisory practice in Washington, D.C. The ideal candidate will have experience counseling public companies on SEC reporting obligations, Exchange Act compliance, and corporate governance issues.
Responsibilities
- Advise public company clients on securities regulation and corporate governance matters
- Counsel clients regarding:
- Exchange Act reporting requirements
- SEC disclosure obligations
- Corporate governance standards
- Board and committee matters
- Public company compliance issues
- Assist with the preparation and review of:
- Annual reports on Form 10-K
- Quarterly reports on Form 10-Q
- Current reports on Form 8-K
- Proxy statements
- Other SEC filings
- Monitor and advise on evolving SEC regulations, stock exchange requirements, and governance best practices
- Conduct legal research and prepare memoranda on complex securities law issues
- Support boards of directors, management teams, and in-house legal departments on governance and disclosure matters
- Collaborate with attorneys across capital markets, M&A, executive compensation, and regulatory practices
Qualifications
- J.D. from an accredited law school
- Law school class years 2020–2022
- Experience advising public companies on securities regulation and corporate governance matters
- Experience with:
- Exchange Act disclosure requirements
- SEC reporting obligations
- Corporate governance standards
- Public company compliance matters
- Strong legal research, writing, and analytical skills
- Excellent communication and client counseling abilities
- Ability to manage sophisticated matters in a fast-paced environment

Compensation & Benefits
- Salary range: $310,000 – $390,000
