Private Equity / Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Private Equity/Mergers & Acquisitions Associate Attorney with 2–5 years of experience to join a premier global law firm and its highly regarded Private Equity practice.

Position Overview

The ideal candidate will have experience representing private equity sponsors in the acquisition and disposition of portfolio companies and a strong background in mergers and acquisitions. This role offers the opportunity to work on sophisticated private equity and mergers and acquisitions transactions alongside an elite team serving leading investment firms and corporations.

Responsibilities

• Represent private equity sponsors in sophisticated private equity and mergers and acquisitions transactions.
• Advise clients on the acquisition and disposition of portfolio companies.
• Assist with all stages of private equity and mergers and acquisitions transactions, from initial structuring and due diligence through negotiation, documentation, and closing.
• Draft, review, and negotiate transaction documents and related agreements.
• Conduct legal research and analysis regarding corporate, private equity, and mergers and acquisitions matters.
• Coordinate with attorneys across corporate, tax, finance, executive compensation, and other practice areas.
• Manage multiple transactions and deadlines in a fast-paced environment.
• Work closely with clients and senior attorneys to develop practical, business-oriented solutions.

Qualifications

• 2–5 years of corporate transactional experience at a leading law firm.
• Demonstrated experience representing private equity sponsors in the acquisition and disposition of portfolio companies.
• Strong understanding of private equity transactions and mergers and acquisitions.
• Experience with sophisticated corporate transactions and related documentation.
• Excellent drafting, analytical, negotiation, and communication skills.
• Strong academic credentials.
• Ability to manage multiple matters and work effectively in a team-oriented environment.
• J.D. from an accredited law school.
• Admission to practice and good standing in the jurisdiction where the candidate resides.

Compensation

The anticipated salary range for this position is $235,000–$365,000 annually, depending on experience and other relevant factors.
