Mid-Level Corporate Attorney Associate – M&A, Private Equity & Venture Capital

Direct Counsel is seeking a highly qualified Mid-Level Corporate Associate with 3–5 years of relevant law firm experience to join a sophisticated and growing U.S. corporate practice in New York or Boston.

This is an excellent opportunity for a corporate attorney with meaningful experience handling M&A, private equity, equity financings, venture capital investments, corporate governance, and securities matters. The successful candidate will work with a diverse client base that includes private equity investors, portfolio companies, hedge funds, emerging companies, and public and private companies.

Position Overview

The Corporate Associate will advise clients on sophisticated transactional and general corporate matters across a broad range of industries, including technology and life sciences.

The role offers the opportunity to take on substantive responsibility early, work directly with experienced partners and clients, and develop a well-rounded corporate practice across M&A, investments, financings, governance, securities, and other strategic transactions.

As the practice continues to grow, the successful candidate will also have the opportunity to assume responsibility for important client relationships and become a key member of the corporate team.

Key Responsibilities

• Represent clients in sophisticated mergers and acquisitions and other strategic corporate transactions.
• Advise private equity investors, portfolio companies, hedge funds, public companies, private companies, and other investors.
• Handle equity financing and venture capital investment transactions.
• Draft, review, and negotiate complex corporate and transactional agreements.
• Assist with transaction structuring, due diligence, negotiation, execution, and closing.
• Counsel clients on corporate governance and securities matters.
• Advise emerging and established companies on general corporate matters throughout their lifecycle.
• Work on transactions involving companies in industries including technology and life sciences.
• Coordinate with clients, opposing counsel, investors, financial institutions, and other transaction stakeholders.
• Work directly with senior attorneys and partners while assuming increasing responsibility for matters and client relationships.

Qualifications

• 3–5 years of relevant corporate law firm experience.
• Strong focus on sophisticated corporate transactions.
• Demonstrated experience with M&A transactions.
• Experience with equity financings and/or venture capital investments.
• Solid foundation in corporate governance and securities matters.
• J.D. from an accredited law school.
• Must be admitted to the Bar in the jurisdiction of the candidate's primary office.
• Outstanding academic credentials.
• Excellent written and verbal communication skills.
• Strong drafting, analytical, organizational, and transaction-management abilities.
• Ability to work effectively with a diverse range of clients and transaction stakeholders.

Compensation

Base Salary: $250,000–$325,000, depending on experience and qualifications.

Associates are also eligible for:

• A substantial annual bonus based on experience and performance.
