Direct Counsel is seeking a Mid-Level Corporate Associate with 3–5 years of substantial M&A experience to join a sophisticated corporate practice. Responsibilities
- Represent clients in sophisticated mergers and acquisitions and other strategic corporate transactions.
- Assist with transactions throughout the full deal lifecycle, from initial structuring and due diligence through negotiation, signing, and closing.
- Draft, review, and negotiate acquisition agreements and related transaction documents.
- Conduct and coordinate legal due diligence.
- Identify and analyze corporate, contractual, and transactional issues affecting M&A transactions.
- Coordinate transaction processes and work closely with specialists across multiple practice areas.
- Advise clients on transaction structure, execution, and related corporate matters.
- Work directly with clients and take increasing responsibility for managing significant components of transactions.
Qualifications
- 3–5 years of M&A experience, preferably with a leading corporate law firm.
- Substantial experience handling sophisticated mergers and acquisitions.
- Superior academic credentials.
- Excellent drafting, analytical, oral, written, and interpersonal skills.
- Strong transaction-management and organizational abilities.
- Ability to work effectively in a fast-paced, collaborative corporate practice.
- Must be admitted in the jurisdiction of the applicable office or eligible to sit for or waive into the next available bar examination.
Preferred Experience
- Experience representing technology and/or life sciences companies.
- Demonstrated interest or affinity for the technology and life sciences sectors.
Compensation & Benefits
- Base Salary: $260,000–$310,000, depending on experience, qualifications, credentials, and location.
