Direct Counsel is seeking a Senior Attorney to join a leading Am Law firm on a non-partner professional track in its New York office. This role is designed for a sophisticated corporate attorney who thrives at the intersection of private equity, family office, and complex transactional law, acting as a key legal architect for high-profile client portfolios.
This is not a back-office role—the ideal candidate will embed themselves deeply within client operations, overseeing complex deal execution, corporate governance, and risk management, while working directly with principals, CFOs, and other senior stakeholders.
Key Responsibilities
- Lead complex deal structuring and execution for private equity, family offices, and sovereign fund investments
- Oversee and coordinate specialist counsel on tax structures, financing agreements, and acquisition-related matters
- Provide general corporate counsel across client workstreams, including board minutes, operating agreements, and commercial contracts
- Offer proactive risk management and corporate governance advice for multi-jurisdictional entities
- Act as a strategic connector across client teams to ensure consistency and alignment with overarching business objectives
- Participate in high-level client interactions, negotiations, and strategic planning discussions
Qualifications
- 6 years of corporate/M&A experience, ideally at a Vault 50 firm or sophisticated boutique focused on private equity
- Proven ability to analyze complex transactions and structures, and understand underlying business mechanics
- Strong autonomy and emotional intelligence; capable of interfacing directly with senior executives and outside advisors
- Excellent drafting, research, analytical, and communication skills
- JD from an accredited law school and active bar membership in good standing
- Experience working with family offices, private equity funds, or multi-jurisdictional entities is highly desirable
Compensation
$250,000 – $400,000, depending on experience, qualifications, and overall fit
