Overview
Direct Counsel is recruiting a junior-to-senior associate attorney to join the Global Corporate Group. Candidates will represent private equity funds, institutional investors, family offices, alternative asset managers, and portfolio companies in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate matters.

Key Responsibilities

• Draft, review, and negotiate complex M&A and private equity transaction documents and related investment agreements.

• Serve as a key member of deal teams, producing acquisition, equity, and related documents in a client-ready format.

• Manage key aspects of transactions from due diligence through closing, across a range of deal sizes (preferably middle market).

• Collaborate closely with partners, clients, and internal teams to execute transactions efficiently.

Qualifications

• 2–6 years of experience in M&A and private equity transactions.

• JD from an accredited law school and active membership in the New York bar.

• Strong drafting, negotiation, analytical, and communication skills.

• Ability to manage multiple matters efficiently in a collaborative environment.

Compensation

• Junior-to-Mid-Level: $235,000 – $260,000

• Mid-to-Senior-Level: $265,000 – $390,000
