Overview
Direct Counsel is recruiting a junior-to-senior associate attorney to join the Global Corporate Group. Candidates will represent private equity funds, institutional investors, family offices, alternative asset managers, and portfolio companies in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and general corporate matters.
Key Responsibilities

Draft, review, and negotiate complex M&A and private equity transaction documents and related investment agreements.

Serve as a key member of deal teams, producing acquisition, equity, and related documents in a client-ready format.

Manage key aspects of transactions from due diligence through closing, across a range of deal sizes (preferably middle market).

Collaborate closely with partners, clients, and internal teams to execute transactions efficiently.
Qualifications

2–6 years of experience in M&A and private equity transactions.

JD from an accredited law school and active membership in the New York bar.

Strong drafting, negotiation, analytical, and communication skills.

Ability to manage multiple matters efficiently in a collaborative environment.
Compensation

Junior-to-Mid-Level: $235,000 – $260,000

Mid-to-Senior-Level: $265,000 – $390,000
