Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a mid-level Corporate M&A Associate to join a nationally recognized law firm’s Corporate practice group in San Diego. This opportunity is ideal for an attorney with substantial experience handling mergers and acquisitions for both private and public companies and who is comfortable drafting and negotiating key transaction documents.

Responsibilities

• Represent private and public companies in mergers, acquisitions, and other strategic corporate transactions.

• Draft and negotiate principal acquisition agreements and related transaction documents.

• Conduct legal due diligence and assist with structuring complex corporate transactions.

• Support negotiations, closings, and overall deal execution from inception through completion.

• Conduct legal research and provide strategic guidance on corporate and transactional matters.

• Collaborate with partners, associates, and cross-functional teams to deliver effective client solutions.

• Maintain strong client relationships through consistent communication and high-quality work product.

Qualifications

• 4–6 years of corporate M&A experience representing private and public companies.

• Experience drafting and negotiating primary acquisition agreements.

• Background working at a large law firm or comparable corporate practice environment.

• Strong academic credentials from an accredited law school.

• Excellent analytical, drafting, negotiation, and organizational skills.

• Ability to manage multiple transactions and meet deadlines in a fast-paced environment.

• Admission to the California State Bar required.

• Experience with cross-border transactions or global corporate restructurings is a plus.

Compensation

The expected salary range for this position is $310,000 – $390,000, depending on experience, qualifications, and geographic considerations. A comprehensive benefits package is also offered.
