A leading global law firm is seeking a Junior to Mid-Level Corporate Associate to join its International Venture Capital & Corporate Practice in Salt Lake City. This role offers the opportunity to work with innovative startups, growth-stage companies, investors, and strategic acquirers on sophisticated domestic and cross-border transactions.
The ideal candidate will have experience advising emerging companies and venture capital investors on financings, mergers and acquisitions, and general corporate governance matters in a fast-paced transactional environment.
Key Responsibilities
- Advise clients on domestic and international venture capital financings
- Support private company mergers, acquisitions, and strategic transactions
- Draft and negotiate venture financing documents, acquisition agreements, and related transactional materials
- Manage due diligence processes and coordinate transaction execution from inception through closing
- Counsel clients on corporate governance and general corporate matters
- Collaborate across practice groups and offices on complex cross-border transactions
- Mentor and support junior associates as part of a collaborative team environment
Qualifications
- 2β4 years of experience in venture capital, emerging companies, and/or corporate transactions
- Strong familiarity with venture financing structures, venture capital documentation, and M&A transaction documents
- Experience leading or managing venture financings and private M&A transactions through closing
- Experience overseeing or coordinating due diligence teams
- Excellent drafting, negotiation, and communication skills
- Strong interpersonal skills, professionalism, and ability to manage a demanding workload in a fast-paced environment
- Ability to work collaboratively across teams and practice areas
- Strong academic credentials and legal writing skills required
Preferred Qualifications
- Spanish and/or Portuguese fluency is highly desirable
- Experience with international or cross-border transactions is a plus
