Corporate M&A Associate Attorney (San Diego)Experience Level: Midlevel AssociateDirect Counsel is seeking a Corporate M&A Associate to join a global AmLaw firm in its San Diego office. This is an opportunity to join a growing corporate practice handling sophisticated mergers and acquisitions for both private and public companies.OverviewThe ideal candidate will have 4–6 years of M&A experience, with a strong focus on executing transactions, drafting principal acquisition agreements, and directly negotiating deal terms. Candidates should bring immediately transferable BigLaw experience, excellent academic credentials, and a collaborative, client-focused approach to their practice.Key ResponsibilitiesExecute and manage complex M&A transactions from inception through closingDraft and negotiate principal transaction documents, including purchase agreements and related ancillary agreementsConduct legal research and analysis to support transactional strategyAdvise clients throughout the deal process and maintain strong client relationshipsCollaborate closely with partners, associates, and cross-functional teamsSupport negotiations, closings, and other high-level transactional mattersStay current on legal developments impacting corporate and M&A workContribute to firm initiatives, professional development, and pro bono effortsQualificationsJD from an accredited law school with strong academic credentialsAdmitted to practice in California4–6 years of M&A experience, including work for private and public companiesPrior experience at an AmLaw 100 firm strongly preferredExperience with cross-border transactions or global corporate restructurings is a plusExcellent drafting, analytical, organizational, and communication skillsStrong business judgment and ability to manage competing priorities in a fast-paced environmentWork EnvironmentHybrid schedule with regular in-office presence in San DiegoCollaborative, high-performance culture with a strong commitment to professional growthCompensationCompetitive compensation commensurate with experienceThe firm’s expected hiring range for this position is $310,000 - $390,000 per year depending on the candidate’s geographic market locationComprehensive benefits package including medical, dental, vision, and retirement plans
