OF COUNSEL – TRANSACTIONAL ANTITRUSTLocations: Atlanta, Austin, Baltimore, Boston, Chicago, Dallas, Houston, Los Angeles, Miami, New York, Palo Alto, Philadelphia, Reston, San Diego, San Francisco, Seattle, Short Hills, Washington, DC, WilmingtonDirect Counsel is seeking an experienced Of Counsel, Transactional Antitrust Attorney to join a top-tier, global law firm with a nationally recognized Antitrust & Competition practice.This role is designed for a seasoned antitrust specialist with deep experience in Hart-Scott-Rodino (HSR) filings and transactional antitrust matters. The attorney will collaborate closely with a national team to support complex mergers, acquisitions, and joint ventures across industries.Key ResponsibilitiesLead and prepare HSR filings and related antitrust submissions.Advise clients on antitrust risks in connection with:Mergers and acquisitionsJoint venturesStrategic transactionsCollaborate with antitrust colleagues nationwide on transactional matters.Supervise and mentor associates as needed.Communicate directly with clients and provide strategic guidance.Coordinate with economists, consultants, and other experts on antitrust issues.Assist with fact development, regulatory inquiries, and depositions.Review and draft discovery responses, briefs, motions, and memoranda.Contribute to case strategy and regulatory planning.Support global merger control processes and filings as applicable.QualificationsJD from an accredited law school.Active bar admission in at least one U.S. jurisdiction.8 years of direct, applicable antitrust experience, ideally from an Am Law 100 firm.Substantial experience preparing and managing HSR filings.Familiarity with global merger control regimes.Government antitrust experience is preferred but not required.Strong legal research, analytical, and writing skills.Excellent communication and interpersonal skills.Ability to work independently with minimal supervision while collaborating effectively with teams.Strong project management skills and attention to detail.Ability to manage multiple priorities in a fast-paced environment.LocationOpen to multiple U.S. offices, including major markets nationwide.Hybrid work environment with regular in-office presence and flexibility for remote work.Compensation & BenefitsHighly competitive compensation, commensurate with experience and geographic market.Comprehensive benefits package, including:Medical, dental, and vision insurance401(k) and retirement benefitsAdditional InformationThis position offers the opportunity to work on high-profile, sophisticated antitrust matters with a collaborative national team.Role scope and responsibilities may evolve based on firm and client needs.Equal opportunity employer.
