Mid-Level Corporate Associate

Position Overview
We are seeking a Mid-Level Corporate Associate to support and lead complex corporate transactions, with a focus on mergers & acquisitions, securities, corporate governance, and regulatory compliance. The role combines transactional work, drafting and negotiating agreements, conducting legal and business analysis, and advising clients on corporate formations and governance matters. The ideal candidate is a detail-oriented lawyer with strong drafting, negotiation, and analytical skills who can manage assignments independently and collaborate effectively across teams.

Key Responsibilities

  • Advise clients on Mergers & Acquisitions transactions, including asset and stock purchases, mergers, joint ventures and strategic investments.
  • Lead and coordinate due diligence processes, identify legal and commercial risks, and prepare diligence reports and summaries for clients and deal teams.
  • Draft, review, and negotiate transactional documents including purchase agreements, disclosure schedules, shareholder agreements, bylaws, operating agreements, financing documents, and ancillary agreements.
  • Prepare and review securities law documentation and filings, including private placement memoranda, subscription agreements, and SEC filings where applicable.
  • Counsel clients on corporate governance matters: prepare board and shareholder materials, minutes, resolutions, and advise on governance best practices and compliance obligations.
  • Assist with corporate formations, reorganizations, restructurings, and entity-level matters, including state filings and capitalization table maintenance.
  • Ensure regulatory and compliance requirements are met across jurisdictions, working with compliance teams to address licensing, reporting, and industry-specific rules.
  • Work closely with tax, finance, external counsel and other internal teams to structure transactions and solve cross-disciplinary legal issues.
  • Supervise and mentor junior associates and paralegals, manage timelines and deliverables, and contribute to workflow efficiency and knowledge sharing.
  • Conduct legal research and apply analytics to evaluate deal structures, market terms, and regulatory impacts; prepare client memos, pitch materials and negotiation strategy.
  • Maintain clear, client-focused communication, manage expectations, and support business development activities as needed.

Qualifications

  • Juris Doctor (JD) from an accredited law school and admission to the bar in the relevant jurisdiction.
  • 3 years of experience in corporate law with significant exposure to Mergers & Acquisitions, securities law, and transactional drafting and negotiation.
  • Proven drafting and writing ability with experience preparing purchase agreements, shareholder agreements, corporate governance documents, and securities-related materials.
  • Strong negotiation skills and demonstrated experience managing deal processes and counterparty discussions.
  • Knowledge of corporate governance, corporate formations, compliance, and regulatory regimes across relevant jurisdictions.
  • Analytical skills and comfort using data and deal analytics to inform legal advice and commercial decision-making.
  • Experience with public company or private equity/venture-backed transactions is highly desirable.
  • Excellent communication, project management, and teamwork skills; ability to multi-task and meet deadlines in a fast-paced environment.
  • Familiarity with legal technology, document management and contract lifecycle tools preferred.
  • Demonstrated professionalism, client service orientation, and ability to supervise junior team members.
