- Assist clients with mergers and acquisitions, corporate transactions, business formations, restructurings, and general corporate matters.
- Draft, review, and negotiate transaction documents, operating agreements, purchase agreements, and other corporate governance documents.
- Conduct due diligence and support deal execution from initial structuring through closing.
- Advise business owners, executives, and private companies on strategic legal and business matters.
- Collaborate with attorneys across multiple practice areas to provide comprehensive solutions to business clients.
Qualifications / Nice to Have
Must Have- J.D. from an accredited law school and active bar admission.
- Experience practicing corporate law in a law firm environment.
- Experience supporting mergers and acquisitions, business transactions, or corporate governance matters.
- Strong drafting and transactional experience.
- Experience representing privately held or middle-market businesses.
- Experience leading portions of transactions and managing deal processes.
- Exposure to private equity, financing, or complex commercial transactions.
- Interest in developing client relationships and growing a long-term practice.

- Base salary ranging from $175,000 to $225,000 , depending on experience.
- Annual hours bonus paid for all billable hours worked above the firm's 1,800-hour target.
- 15% origination bonus on collected revenue from self-generated business.
- Eligibility for profit-sharing contributions, historically ranging from $7,500 to $15,000 annually, based on associate productivity.
