Senior Corporate & Compliance Counsel
$250,000–$275,000 base 10–20% bonus
Full-time | Onsite in Valencia, or Irvine, CA
A publicly traded, mission-driven life sciences company is seeking a Senior Corporate & Compliance Counsel to join its Legal & Compliance team in Valencia, CA. This is a high-impact, cross-functional role ideal for attorneys with 8–12 years of legal experience, particularly those with a mix of law firm and in-house experience in the life sciences sector. What You’ll Do
Corporate & Securities Law Draft and review SEC and ASX filings (Forms 10-K, 10-Q, 8-K, Proxy statements) Ensure U.S. and international securities law compliance Collaborate with finance and executive teams on disclosures and regulatory reporting Governance & Board Support Prepare board resolutions, meeting minutes, and corporate governance materials Maintain governance compliance across U.S. and international entities Compliance & Regulatory Oversight Maintain and revise internal policies and procedures Lead anti-bribery/anti-corruption compliance and trainings Oversee HCP contracting and transparency initiatives Transactional & Strategic Support Provide legal support for M&A and corporate financing transactions, including due diligence and integration Counsel cross-functional teams including commercial, finance, regulatory, and operations Legal Operations & Efficiency Streamline legal templates, workflows, and SOPs Manage outside counsel relationships and legal spend What You Bring JD from an accredited U.S. law school; admitted to practice and in good standing 8–12 years of legal experience, including both law firm and in-house roles Deep knowledge of corporate law, securities regulation, and healthcare/life sciences compliance Experience advising on M&A, financing, and cross-functional strategic initiatives Strong drafting, communication, and business judgment skills Proven ability to operate independently and collaboratively in a fast-paced, regulated environment
