CornerStone Professional Placement is seeking a Corporate Attorney - Risk & Compliance with a strong focus on Master Service Agreements (MSAs), commercial contract negotiation, indemnification provisions, and limitation of liability. This role will serve as a key legal resource to executive leadership, helping protect the organization through effective contract review, risk mitigation, and corporate governance.

The ideal candidate will have at least two years of corporate legal experience, with demonstrated expertise in reviewing, drafting, and negotiating MSAs and identifying contractual exposures. This position is focused on corporate legal matters and risk management rather than sales or business development. Success requires sound legal judgment, strong contract negotiation skills, attention to detail, and the ability to provide practical legal guidance that protects the organization's interests.

KEY RESPONSIBILITIES

  • Lead the review, drafting, and negotiation of Master Service Agreements (MSAs), with particular emphasis on indemnification, limitation of liability, liability caps, insurance requirements, and allocation of contractual risk.

  • Evaluate and negotiate contractual provisions involving indemnity obligations, consequential damages, warranties, confidentiality, intellectual property, dispute resolution, and other material legal exposures.

  • Review and manage additional corporate and commercial agreements, including NDAs, vendor agreements, subcontract agreements, purchase orders, leases, amendments, and related documents.

  • Identify and communicate legal and financial risks within MSAs and other agreements, providing practical recommendations to executive leadership.

  • Manage contract redlines, approval workflows, negotiation history, obligation tracking, renewals, and contract records.

  • Partner with executive leadership and outside legal counsel on complex legal matters, material contract deviations, corporate governance, and risk mitigation strategies.

  • Maintain business registrations, corporate records, licenses, compliance calendars, document retention programs, and audit readiness.

  • Monitor applicable federal, state, local, customer, and industry regulatory requirements impacting corporate operations.

  • Support insurance renewals, broker requests, certificates of insurance, contractual insurance requirements, and project-specific coverage reviews.

  • Provide secondary support for operational compliance matters, including DOT requirements, drug and alcohol testing programs, background screenings, and contractor qualification documentation.

  • Prepare legal risk summaries, executive reports, compliance updates, and recommendations to strengthen contract management and corporate compliance processes.

  • Utilize Microsoft Office, document comparison tools, contract management systems, and approved AI productivity tools to improve efficiency while safeguarding confidential information.

MINIMUM QUALIFICATIONS

  • Juris Doctor (JD) degree from an accredited law school is required; state bar admission is not required.

  • Minimum of two (2) years of corporate attorney or corporate legal experience, with a focus on commercial contracts, corporate legal matters, or risk management.

  • Demonstrated experience reviewing, drafting, and negotiating Master Service Agreements (MSAs).

  • Strong understanding of indemnification provisions, limitation of liability clauses, liability caps, and contractual risk allocation.

  • Ability to identify material legal and financial exposures within complex commercial agreements and communicate recommendations effectively.

CORE SKILLS

  • Advanced commercial contract drafting, review, negotiation, and risk analysis, particularly involving MSAs.

  • Strong understanding of indemnity provisions, liability limitations, insurance obligations, and contractual risk allocation.

  • Corporate legal judgment with the ability to protect organizational interests while supporting business operations.

  • Legal research, issue spotting, regulatory compliance, and corporate governance.

  • Strong written and verbal communication skills with executive-level professionalism.

  • Experience maintaining legal documentation, contract workflows, compliance records, and reporting.

  • Highly organized with the ability to manage multiple priorities and deadlines.

  • Advanced Microsoft Office skills, including Word redlining and document comparison.

  • Experience with ERP, contract lifecycle management (CLM), records management, or compliance systems is preferred.

  • Familiarity with artificial intelligence (AI), large language models (LLMs), GPT tools, and related productivity applications is a plus.

PREFERRED EXPERIENCE

  • Experience supporting engineering, construction, manufacturing, industrial, energy, or other business-to-business organizations.

  • Experience working in-house or within a corporate/commercial law practice with significant exposure to MSAs and contract risk management.

  • Familiarity with DOT compliance, drug and alcohol testing requirements, or other operational regulatory programs is a plus, but not a primary focus of the position.

  • Interest in building long-term corporate legal and leadership responsibilities within a growing organization.
