Our client, a leading real estate investment asset manager, is looking to hire a junior corporate paralegal to support 2-3 senior attorneys.
This role will provide legal and administrative support to attorneys advising the Corporate business of a publicly traded global asset management firm. Primary responsibilities include assisting with regulatory filings and public disclosure, corporate governance, document management and recordkeeping, and related administrative matters for the parent company, an affiliated non-traded REIT, and certain international operating subsidiaries. Responsibilities
- Attend and prepare materials for Board and committee meetings; assist with meeting logistics and minutes.
- Maintain ongoing, direct interactions with Board members and senior management.
- Assist with preparation, drafting and review of periodic SEC and other regulatory filings.
- Prepare forms required under Section 16 (or equivalent reporting) and track stock ownership of officers and directors.
- Support corporate governance and compliance tasks, including preparation of corporate reports and filings and correspondence with relevant exchanges and regulators.
- Assist with earnings releases, investor/analyst calls, and related disclosure logistics.
- Coordinate corporate press releases and external communications as directed.
- Support shareholder and stakeholder relations activities.
- Support employment and executive compensation matters from a documentation and filing perspective.
- Assist with review and administration of commercial and vendor contracts.
- Provide support for potential corporate and strategic transactions and significant corporate events.
- Assist with public company securities offerings and issuer documentation.
- Support intellectual property recordkeeping and related administration.
- Assist with internal corporate reorganizations and entity maintenance.
- Help administer corporate compliance policies and control processes.
- Support commercial lease administration and corporate real estate matters.
- Assist with routine litigation intake and coordination with outside counsel as needed.
- Manage document repositories, corporate minute books, and governance records for domestic and international entities.
- Support ad hoc projects and cross-functional initiatives as required by the Corporate legal team.
Minimum Qualifications & Skills
- 1–3 years of relevant corporate legal, compliance, or paralegal experience.
- Bachelor’s degree.
- Proficient with Microsoft Office Suite; ability to learn new databases and legal/records systems quickly.
- Strong attention to detail and accuracy in drafting and recordkeeping.
- Conceptual thinker with analytical abilities; able to assess situations quickly and produce useful insights.
- Demonstrates high professional integrity and discretion when handling sensitive information.
- Self-starter who exercises sound independent judgment and can manage multiple priorities to completion.
- Excellent drafting, written and verbal communication, and presentation skills.
- Collaborative team player with ability to build consensus across functions and within a matrixed organization.
- Cultural sensitivity and ability to partner effectively with colleagues and service providers in international locations.

Salary : $85,000 - $100,000
