What are the responsibilities and job description for the Associate Counsel position at Bridgewater Bank?
We are looking for a highly motivated and detail-oriented Associate Counsel to join our Legal team at Bridgewater Bank. In this role, you will report to the General Counsel in providing comprehensive legal counsel to all departments within the bank with a focus on commercial lending transactions, loan workout matters, litigation matters, and vendor contract review.
RESPONSIBILITIES:
- Provide legal support to lending department including transactional support, counseling regarding loan foreclosure and collection, and development of manual of documentation and due diligence standards.
- Support General Counsel in providing legal counsel to all other departments of the bank.
- Prepare and review commercial lending documentation including promissory notes, mortgages, security agreements, guarantees, and amendments, waivers, and modifications.
- Provide training to business teams regarding transaction policies, procedures, and documentation.
- Review, prepare, and negotiate non-disclosure agreements and similar confidentiality agreements.
- Oversee and provide reporting on foreclosure, collection, and litigation matters.
- Draft, review, and negotiate agreements with the bank’s vendors.
- Conduct in-depth research in various legal areas including commercial lending, real estate, bankruptcy, and banking regulation.
QUALIFICATIONS:
- J.D. from accredited law school
- Current license to practice law in Minnesota (or another U.S. state with ability to practice in-house in Minnesota)
- 5 years of legal experience with finance, banking, loan collection, bankruptcy, or other relevant experience
- Working knowledge of federal and state commercial lending laws
- Proficient legal research skills
- Strong analytical skills with high attention to detail and accuracy
- Strong organizational skills
- Working knowledge of various legal areas including real estate, commercial lending, title work, litigation, banking, employment, and bankruptcy
- Knowledge of entity types and experience reviewing organizational and authority documents
- Excellent verbal and written communication skills
- Ability to work independently, proactively, and creatively while exercising sound judgement
- Ability to analyze information to formulate logical and objective conclusions
- Professionalism in dealing in person, by phone, or by email with internal and external parties
- Ability to identify process improvement opportunities
- Excellent computer skills that include MS Word/Outlook, Excel and PowerPoint

COMPENSATION & BENEFITS:
The typical annual base pay range for this role is between $140,000 – $160,000. Compensation may vary based on individual job-related knowledge, skills, expertise, and experience. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.
