Our client, a major global AmLaw firm, is seeking to add two Corporate Paralegals to its growing team—one mid‑level and one senior‑level—to support sophisticated transactional practices.
These roles offer the opportunity to work on high‑profile matters for both private and public company clients in a fast‑paced, collaborative environment.
Day‑to‑day responsibilities include assisting with the formation, maintenance, and dissolution of corporate entities; preparing organizational and governance documents; coordinating and managing transaction closings; drafting and filing corporate and securities‑related filings; organizing corporate records; and conducting due diligence reviews. The role also involves preparing stock certificates, maintaining capitalization tables and option records, researching Blue Sky requirements and preparing related filings, assembling legal opinions and supporting materials, and, at the senior level, providing training and guidance to case assistants and junior paralegals.
The ideal candidates will have prior transactional experience, with a strong preference for exposure to Private Equity, Capital Markets, and M&A matters.
