A nationally recognized Am Law firm is actively seeking a Mid-Level Corporate M&A / Private Equity Associate Attorney to join its Houston office. This opportunity offers attorneys the chance to work within a highly regarded transactional practice, advising private equity funds, financial sponsors, and portfolio companies on complex deals.

Key Responsibilities

• Advise private equity funds, sponsors, and portfolio companies on M&A transactions

• Draft and negotiate definitive agreements, including purchase and governance documents

• Support capital raises, joint ventures, and securities offerings

• Provide day-to-day legal guidance to portfolio companies

• Collaborate with cross-functional teams on transaction execution

• Maintain strong client relationships and manage deal timelines

Qualifications

• 3–5 years of experience as a Corporate M&A / Private Equity Associate Attorney

• Strong background in mergers and acquisitions and private equity transactions

• Juris Doctor (JD) from an accredited law school

• Admission to practice law (Texas Bar required)

• Excellent drafting, negotiation, and analytical skills

• Strong academic credentials and attention to detail

• Ability to manage multiple transactions in a fast-paced environment
