This role provides the opportunity to advise private equity sponsors, corporate borrowers, financial institutions, and private credit lenders on sophisticated domestic and international financing transactions.
Attorneys in this practice work on complex leveraged financings, syndicated credit facilities, acquisition financings, structured lending arrangements, and secured and unsecured debt transactions. Associates receive substantial responsibility, direct client exposure, and opportunities to lead sophisticated financing matters while collaborating with nationally respected finance practitioners.

Duties
• Draft, review, and negotiate principal financing and security documentation.
• Represent private equity sponsors, corporate borrowers, and financial institutions in complex financing transactions.
• Structure and negotiate syndicated credit facilities and leveraged finance transactions.
• Advise clients regarding secured and unsecured lending arrangements.
• Handle acquisition financings, leveraged buyouts, and recapitalization transactions.
• Assist with domestic and cross-border debt financing matters.
• Represent private credit lenders in sophisticated commercial lending transactions.
• Structure alternative lending and structured finance arrangements.
• Coordinate transaction closings and manage financing documentation throughout each transaction.
• Collaborate with multidisciplinary legal teams on complex corporate and finance matters.
• Build strong client relationships while delivering practical business-focused legal advice.

Requirements
• Minimum of 5 years of experience in finance law.
• Extensive experience drafting and negotiating financing and security documentation.
• Experience representing private credit lenders, private equity sponsors, or corporate borrowers.
• Significant experience with leveraged buyouts, acquisition financings, and syndicated lending.
• Strong knowledge of commercial lending and finance transactions.
• Excellent drafting, negotiation, analytical, and communication skills.
• Outstanding academic credentials.
• Ability to independently manage sophisticated transactional matters.
• Active admission to the New York Bar.
