Key Responsibilities
• Advise clients on mergers and acquisitions, private equity investments, venture capital financings, and other corporate transactions.
• Draft, review, and negotiate purchase agreements, investment agreements, financing documents, shareholder agreements, and other corporate documentation.
• Conduct legal due diligence for mergers, acquisitions, investments, and financing transactions.
• Assist clients with securities law compliance and capital markets matters.
• Support public and private company transactions throughout all stages of execution.
• Structure and negotiate venture capital and private equity investments.
• Advise emerging companies on corporate governance and strategic business matters.
• Coordinate with specialists across tax, employment, intellectual property, finance, and regulatory practice groups.
• Manage transaction timelines and communicate regularly with clients and opposing counsel.
• Prepare closing documentation and assist with post-closing integration matters.
• Conduct legal research related to corporate governance, securities regulations, and transactional issues.
• Deliver practical business-focused legal advice while maintaining exceptional client service.

• 2–5 years of corporate transactional experience.
