A premier Am Law firm is seeking an Executive Compensation & ERISA Associate Attorney with 2–5 years of experience to join its highly regarded corporate practice in New York or Washington, DC. This role focuses on advising clients on executive compensation matters within complex transactional contexts, including mergers and acquisitions and other high-value corporate deals.

Key Responsibilities
• Advise on executive compensation aspects of mergers, acquisitions, and other corporate transactions
• Support deal teams on compensation structuring and benefits-related matters
• Provide guidance on ERISA compliance and regulatory frameworks
• Draft and review executive compensation agreements, equity plans, and benefits documentation
• Collaborate with corporate attorneys and clients to address transactional compensation issues
• Assist in structuring incentive plans and executive arrangements aligned with business objectives
• Manage multiple complex transactions and deadlines in a fast-paced environment

Qualifications
• 2–5 years of experience as an Executive Compensation Attorney or ERISA Attorney (class years 2020–2023)
• Experience in transactional executive compensation matters required
• Strong familiarity with ERISA and related regulatory frameworks
• Admission to the New York or Washington, DC Bar required or eligibility to obtain admission
• Excellent academic credentials
• Strong drafting, analytical, and negotiation skills
• Ability to thrive in a team-oriented, high-performance environment
