Job Overview
A law firm seeks an experienced attorney to join its expanding securities group in Washington, D.C. This role offers the opportunity to engage in a sophisticated and entrepreneurial practice within a collegial and supportive environment. Candidates should possess at least five years of experience in corporate securities law.
Duties
- Advise on public company disclosure rules and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Draft Forms 10-K, 10-Q, and 8-K, as well as proxy statements for shareholder meetings.
- Prepare Forms 3, 4, and 5 and advise on short-swing profit rules.
- Provide guidance to public company insiders or companies on trading plans.
- Engage in general corporate governance tasks, such as drafting board resolutions and press releases.
- Participate in public and private offerings of securities.
- Apply knowledge of national securities exchange listing rules.
- Experience with broker-dealer, FINRA, investment adviser, or fund formation is a plus.
Requirements
- Minimum of five years of relevant experience in corporate securities law.
- Strong academic background.
- Excellent research, writing, and communication skills.
Education
- Juris Doctor (JD) degree from an accredited law school.
Certifications
- Bar admission in good standing.
