A law firm is seeking a Corporate Securities Associate Attorney with 2-4 years of capital markets and public company experience to join its corporate practice. The position focuses on representing issuers and investment banks in securities offerings while advising public companies on regulatory compliance, disclosure obligations, and corporate governance matters.
The successful candidate will work on initial public offerings, equity and debt offerings, PIPE transactions, at-the-market offerings, and ongoing public company reporting. Attorneys will collaborate with experienced corporate lawyers while providing practical legal guidance on SEC compliance and stock exchange requirements.
This role offers substantial exposure to sophisticated capital markets transactions and securities law matters within a collaborative corporate practice.
This opportunity is offered through a corporate practice representing businesses, issuers, and financial institutions in securities offerings, capital markets transactions, and ongoing public company compliance matters. Attorneys work closely with experienced practitioners on sophisticated transactional and regulatory matters while developing advanced corporate law experience.

Duties
• Represent issuers and investment banks in initial public offerings, equity offerings, debt offerings, and PIPE transactions.
• Advise clients on at-the-market offerings and public company reporting obligations.

• Ensure compliance with Nasdaq and NYSE listing standards.
