The Orlando office of BakerHostetler is seeking a senior associate or counsel with 7 years of experience to join its Business Group. This role involves handling sophisticated corporate transactions with minimal supervision, with a primary focus on M&A, as well as joint ventures, entity formation, and general corporate and commercial matters. The candidate will work closely with the other members of the Orlando Business Group on complex, high-value transactions for clients in a wide range of industries, including hospitality, sports and entertainment, and other national corporate sectors.
The position offers the opportunity to take ownership of transactions from start to finish while collaborating across offices on sophisticated, often multi-disciplinary matters involving private equity, debt financing, and public company considerations.

Qualifications Include
- Significant experience handling and executing M&A transactions, including structuring deals, managing due diligence, drafting and negotiating purchase agreements and ancillary documents, and overseeing closings
- Experience with private equity-backed transactions, joint ventures, and entity formation, including drafting LLC agreements and governance documents
- Strong experience drafting and negotiating complex commercial agreements
- Ability to manage complex transactions independently while coordinating with specialists (e.g., tax, real estate, regulatory) on multi-faceted deals
- Excellent drafting, negotiation, and client communication skills, with a practical, business-oriented approach
- Proven ability to manage client relationships and engagements end-to-end with accountability and ownership
- Demonstrated attention to detail, strong work ethic, and commitment to delivering high-quality client service
- Ability to collaborate effectively in a team-oriented, group practice environment and mentor junior attorneys
- Comfortable with technology
- Admitted to practice law in Florida
- Experience with debt finance transactions
- Background representing hospitality, sports, entertainment, or national corporate clients
- Work on sophisticated matters with mentorship from industry leaders
