This opportunity offers meaningful responsibility advising established and emerging businesses on corporate transactions across industries including technology, manufacturing, consumer products, life sciences, and finance.
Responsibilities
- Represent clients in mergers, acquisitions, and other corporate transactions.
- Draft, review, and negotiate acquisition agreements and related transaction documents.
- Advise on corporate governance, securities compliance, and entity formation and maintenance.
- Assist with corporate financing transactions and related commercial matters.
- Coordinate due diligence, transaction execution, and closings.
- Manage competing transaction deadlines and collaborate directly with partners and clients.
Qualifications
- 2 to 5 years of substantive corporate transactional experience.
- Experience with mergers and acquisitions and general corporate matters.
- Familiarity with corporate governance, securities compliance, and corporate finance.
- Strong drafting, negotiation, analytical, and organizational skills.
- Excellent academic credentials and a collaborative, client-focused approach.
- J.D. from a well-regarded law school and active bar admission, preferably in Oregon, or eligibility for admission by waiver.
