$200,000 – $215,000

A highly respected national law firm is seeking a Corporate Transactions Associate Attorney to join its Minneapolis office.

This opportunity is ideal for an attorney interested in representing sophisticated national clients in a broad range of corporate and transactional matters, including mergers and acquisitions, private equity, venture capital, and capital markets transactions.

Ideal Background

• 2–4 years of corporate, mergers & acquisitions, private equity, capital markets, or transactional experience

• Experience leading, managing, or substantially contributing to mergers & acquisitions, private equity investments, leveraged buyouts, and/or capital markets transactions

• Experience representing public and private companies, private equity sponsors, venture capital funds, investors, and other corporate clients

• Experience with venture capital financings, private offerings of equity and debt securities, and corporate governance matters is preferred

• Experience advising clients regarding public company SEC reporting and compliance, including Forms 10-K, 10-Q, 8-K, and proxy statements, is a plus

• Experience drafting and negotiating purchase agreements, investment documents, financing documents, and other corporate transaction agreements

• Strong drafting, analytical, organizational, leadership, and communication skills

• Ability to work collaboratively in a fast-paced team environment while assuming significant responsibility

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• Minnesota bar admission required or ability to become admitted without examination
