DESCRIPTION:Duties: Lead a team that advises attorneys, business partners, corporate secretaries, senior level management, and other colleagues in conjunction with their corporate partners on regulatory reporting requirements, filings, and other matters under the Bank Holding Companies Act and its implementing regulations, including Regulations W and Y, to ensure that data in the firm's legal entity management system complies with policies, procedures, and regulatory expectations. Advise on the development of legal technology applications and serve as the global subject matter expert on signing authority projects. Work with Senior Management to develop strategic solutions to correctly record legal data in the firm's Global Entity Management System. Set clear direction for the team related to the execution of strategic planning and day to day functional duties. Provide subject matter expertise in areas of corporate governance, signing authority, and legal documents such as Powers of Attorney, Incumbency Certificates, and Secretary Certificates that enable an end-to-end digital process. Prepare items 3 and 4 of the FR Y-6, including providing a list of each securities holder that directly or indirectly owns, controls, or holds with power to vote 5% or more of any class of voting securities of the holding company as of the fiscal year end, and during such fiscal year, of the holding company to support the requirements, and listing, extracting, reviewing, and providing the data related to each principal securities holder, director, trustee, partner, executive officer, or person exercising similar functions of such holding company to the management required for filing the FR Y-6. Provide advice regarding Director Training to enable digital training. Prioritize team and Products work to deliver business results. Build and maintain quality relationships with Practice Group Heads and the lawyers on the team, as well as the Product and Technology teams, and other key stakeholders.QUALIFICATIONS:Minimum education and experience required: Master's degree in Law, Business Administration, Data Science or related field of study plus 3 (Three) years of experience in the job offered or as Assistant General Counsel, Governance Team Lead, Senior Counsel, or related occupation.Skills Required: Requires experience in the following: Corporate governance, legal entity management, banking and regulatory law, and regulatory reporting; Project management and delivery; Collecting, analyzing, and synthesizing data from multiple sources to develop actionable solutions; MS Office suite including Word, PowerPoint, and Excel including v-look ups, and Pivot tables; Project management tools; Process-mapping tools such as MS Visio; Legal entity data; Signing authority; Legal technology; Legal operations; Data governance; Data modeling concepts; Taxonomies; Databases such as SQL or relational databases; and APIs.Job Location: 480 Washington Blvd, Jersey City, NJ 07310.
