Ascension Global Staffing & Executive Search is recruiting a talented Corporate and Transactional Attorney for our client's firm located in Fort Lauderdale, Florida. This role requires expertise in corporate finance, private debt, securities offerings, M&A transactions, and corporate governance.

Key Responsibilities:

- Draft, review, and negotiate a variety of corporate agreements and contracts, including financing documents, M&A agreements, and corporate governance documents.

- Advise clients on corporate finance matters, including private equity, debt financing, and securities offerings.

- Handle mergers and acquisitions (M&A) transactions, including due diligence, negotiation, and closing processes.

- Provide counsel on corporate governance matters, board meetings, and compliance issues.

- Collaborate with internal stakeholders and external parties such as clients, opposing counsel, and regulatory bodies.

Qualifications and Skills:

- Juris Doctor (J.D.) degree from an accredited law school.

- Active membership in good standing with the Florida State Bar or eligible for admission.

- Minimum 2 years of relevant experience in corporate law, particularly in corporate finance, securities, and M&A transactions.

- Strong understanding of business and legal issues related to corporate transactions.

- Excellent analytical, drafting, and negotiation skills.

- Ability to manage multiple projects and deadlines efficiently.

- Exceptional interpersonal and communication skills.
