About the Firm: Horzepa Spiegel & Associates P.C. is a boutique law firm based in Houston, Texas specializing in providing comprehensive legal services in corporate law, mergers and acquisitions, and software licensing. We are committed to delivering exceptional service to our clients and maintaining a supportive work environment for our team.
Role Summary: We are seeking a diligent and skilled transactional lawyer to join our team. The ideal candidate will have expertise in handling a wide range of transactional matters, including drafting, reviewing, and negotiating contracts, advising on corporate governance issues, assisting with M&A transactions and addressing software licensing issues.
Key Responsibilities:
  • Draft, review, and negotiate a variety of contracts and agreements such as software license agreement, SaaS Service Agreements and vendor agreements.
  • Draft and review corporate minutes, shareholder consents and board consents.
  • Manage due diligence processes and document drafting for M&A transactions.
  • Collaborate with other attorneys and professionals on complex transactions.
  • Represent the firm in negotiations and transactions with a professional demeanor and ethical conduct.
Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • 4 to 5 years of experience in transactional law, preferably in a law firm setting.
  • Strong understanding of the legal framework governing M&A transactions.
  • Experience with software licensing transactions.
  • Excellent negotiation, communication, and drafting skills.
  • Ability to work remotely as part of a team in a fast-paced environment.
  • Detail-oriented with a commitment to high-quality legal work.
