Corporate Counsel
Location: Yonkers, New York—In person, 5 days per week
Reports to: General Counsel & Chief Compliance Officer
Anticipated Base Salary Range: $150,000 to $190,000 per year
Position Summary:
The Corporate Counsel will provide legal support to the organization, focusing primarily on drafting, negotiating, and advising on construction industry contracts under the direction of the General Counsel. This role will collaborate closely with internal stakeholders to manage contractual risk, ensure compliance with company policies and applicable laws, and maintain an efficient and accurate contracting process to support the company’s construction project teams.
Key Responsibilities:
- Draft, review, and negotiate a variety of construction-related agreements, including subcontracts, purchase orders, professional services agreements, design services agreements, and consulting agreements.
- Advise internal clients on key risk transfer provisions, including indemnification, insurance requirements and additional insured status, limitations of liability, waivers of consequential and indirect damages, and dispute resolution.
- Translate complex legal issues into clear, actionable business principles for non-legal stakeholders to allow management to make informed business decisions regarding contractual risk and other obligations.
- Collaborate with the company’s various departments involved in the contracting functions, including Procurement, project teams, senior management, Insurance & Risk Management, and Legal to resolve critical risk issues and ensure alignment with business objectives.
- Assist with compliance functions, including drafting, reviewing, and maintaining policy documents; managing a policy database; related compliance reporting; and developing and conducting training sessions for company employees.
- Support the General Counsel & Chief Compliance Officer on various legal and compliance matters as needed.
- Occasional travel to project sites within New York, New Jersey, and Connecticut may be required.
Qualifications
- Juris Doctor (JD) degree and admission to practice law (New York or Connecticut preferred).
- Minimum 3 years of experience in construction contract negotiation and drafting.
- Strong understanding of risk allocation and transfer provisions.
- Excellent communication skills with the ability to simplify complex legal concepts for business teams.
- Detail-oriented, organized, and able to manage multiple priorities in a fast-paced, dynamic environment.
Preferred Skills
- Experience working with subcontractors and vendors in construction-related contexts, particularly in the public works and/or heavy civil sectors.
- Familiarity with compliance frameworks and policy management.
- Familiarity with DocuSign and contract management tools and software.
