JOB SUMMARY:
The Corporate Governance and Securities Counsel will oversee securities and corporate governance matters for the Company and the Board of Directors. Additionally, this role will manage certain litigation, including Lemon Law matters and related regulatory compliance.
Responsibilities & Key Activities
- Assist in managing the Company’s public company reporting and regulatory obligations, such as Annual Reports and Proxy Statements.
- Oversee stock exchange rules requirements and maintain professional experience working with the U.S. Securities and Exchange Commission (SEC).
- Support and advise the Board of Directors, oversee corporate governance matters, and prepare documentation for Board and Committee meetings.
- Manage Annual Shareholders’ Meetings and assist in the preparation of Earnings Calls.
- Assist the Environmental, Social & Governance (ESG) team in preparing Corporate Responsibility Reports and other ESG initiatives.
- Manage certain litigation, including Lemon Law matters, strategy and execution of vehicle buybacks, dispute resolution, and related regulatory compliance.
- Collaborate with North America and Global legal teams to provide counsel on compliance, commercial agreements, licensing, permitting, insurance, logistics, marketing, sales, service, and other tasks as assigned.
Position Requirements
Minimum Requirements
- 5 years of experience in Securities, Corporate Governance, and general corporate/commercial matters.
- Direct experience handling Lemon Law claims, consumer warranty litigation, and buyback processes.
- Juris doctorate (JD) degree.
- Member of the California, New York or North Carolina Bar Associations or eligibility for the California in-house exception.
- Experience representing global clients in a fast-paced industry with a well-respected law firm is preferred.
- Strong interpersonal skills with the ability to manage at all levels of the organization.
- Ability to work under pressure and meet tight deadlines.
- Excellent writer and communicator.
- Executive presence, confidence, and an enthusiastic attitude.
- Meticulous and thorough attention to detail.
