Based in our Deerfield Beach, FL location, this is an opportunity to play a key Leadership role in a small law department for a dynamic company with global reach. The General Counsel – Florida Business Unit is responsible for supporting the Florida Business Unit of the organization, providing legal counsel and advice on a wide range of legal issues, with a focus on contract drafting and negotiation and regulatory compliance. The position will report to the Chief Legal Officer and will work closely with legal team colleagues, senior management, outside legal counsel, and employees at all levels supporting Titan’s operations.
Responsibilities:
- Draft and negotiate commercial contracts, requests for proposals, legal terms and conditions and other legal documents
- Analyze and summarize complex legal documents over a broad range of subject matter, to include manufacturing, supply, finance, intellectual property, information technology, and services agreements and litigation, immigration, employment, labor and corporate governance matters
- Consult with management, commercial advisors, tax experts, accountants, and staff
- Assist with compliance and corporate governance issues
- Stay abreast of industry-specific regulations, and develop/ensure appropriate risk management strategies are in place
- Support the development of policies on industry-specific issues, corporate governance, or regulatory affairs
- Research, analyze, and draft instructive memoranda on various legal issues
- Manage outside counsel and litigation matters; ensure effectiveness and alignment of outside counsel with company objectives
- Anticipating and mitigating potential legal problems within the organization and developing strategies to reduce potential areas of risk
Qualifications:
- Juris Doctor (J.D) and State Bar License in good standing
- 8-12 years of experience in a large law firm or corporate legal department
- Strong business judgment; strong analytical, negotiation, and drafting; experience in capital projects, construction and engineering contracts, and/or real estate background is beneficial
- Outstanding organizational skills to handle multiple projects simultaneously and effectively prioritize deadlines
- Ability to function independently and as a contributing team member
- Ability and desire to act as a key organizational leader
- High degree of initiative and self-motivation
- Strong presentation skills, excellent interpersonal and oral/written communication skills
