Position Summary
TIFF is seeking a professional to join its Legal and Compliance team, supporting regulatory, governance, transactional and investment-related activities for its SEC-registered investment advisers and managed funds at TIFF.
Key Responsibilities
The key responsibilities include, but are not limited to, the following:
- Prepare, review, and oversee the submission of subscription documents for fund investments, ensuring accuracy and alignment with applicable requirements
- Analyze and respond to AML, KYC, FATCA, CRS, and beneficial ownership information requests from fund investments, counterparties, administrators, and banks.
- Lead and coordinate the formation and maintenance of corporate entities, monitoring ongoing legal and compliance matters.
- Support corporate transactions and investment-related activities, including NDAs, credit renewals, subscription agreement tracking, and closing deliverables.
- Assist with corporate governance processes, including preparation of board and committee materials and minutes.
- Maintain and oversee compliance calendars, including tracking legal and regulatory obligations and managing deadlines.
- Prepare, review, and submit regulatory, compliance, financial, tax, and state corporate filings.
- Administer and monitor employee compliance reporting processes and systems, identifying issues and supporting adherence to internal and regulatory requirements.
- Review and approve advertising materials and related communications for compliance considerations, identifying potential issues and maintaining associated disclosure documentation.
- Conduct periodic compliance testing, document results, and identify potential issues and escalate potential issues for further review.
- Perform vendor due diligence and contribute to the preparation of related documentation, supporting risk assessment and decision-making processes.
- Maintain legal and compliance records, ensuring accurate, complete, and compliant with record-keeping requirements.
Qualifications
- Bachelor's degree from an accredited 4 year university and 2-4 years’ experience as a paralegal or compliance professional preferred, or equivalent combination of education and experience.
- High degree of proficiency with Microsoft Office Suite, including complex Word document formatting,
- Demonstrated expertise in document management systems (e.g., Adobe Acrobat, DocuSign)
- Experience managing complex documentation and ensuring compliance with legal and regulatory standards
- Highly self-motivated with a willingness to take initiative.
- Strong project management capabilities, including the ability to independently prioritize, manage multiple concurrent initiatives, and meet competing deadlines in a fast-paced environment
- Ability to work in a dynamic, team environment.
- Exceptional written and oral communication skills.
