What are the responsibilities and job description for the Private Equity Fund Formation In-House Counsel position at The PeterSan Group and PeterSan Legal Staffing?
Our client, a global investment management firm is seeking an Associate General Counsel to join one of its division’s lean U.S. legal team supporting a broad platform spanning retail alternatives, wealth products, and private equity secondaries funds. The environment is collaborative, fast-paced, and offers exposure to innovative and complex investment structures.
You will support U.S. registered and unregistered investment companies, including fund formation and registration, regulatory filings, product development, marketing review, and other transactional work. The role includes advising on private equity secondaries funds and portfolio-level investments (M&A, private placements, complex securities), general corporate matters, and other special projects.
• Applicants must have the following qualifications in order to be considered:
- 6 years of legal experience in the investment management sector with top law firm training. Additional in-house experience is a plus.
- Deep experience with the Investment Company Act of 1940 and U.S. federal securities laws, and registered fund products (not mutual funds).
- Experience with private equity fund formation and registration
- Strong communication skills and ability to work directly with senior business leadership
- Demonstrated ability to manage multiple priorities across teams in a dynamic environment
- Preferred: experience with retail alternatives, liquid alternative products, wealth products, and private equity secondaries.
Hybrid work expectation of four days per week in the office.
Salary : $250,000 - $300,000
