Fractional Legal Counsel (M&A Focus) – Americas
📍 Georgia (Hybrid) | 🕒 Part-Time / Fractional | 🔄 Temp-to-Perm Opportunity
We are partnering with a growing, internationally active business seeking a business-minded Legal Counsel to support its Americas operations on a part-time / fractional basis, with potential to transition into a permanent role.
This is an excellent opportunity for a commercially focused lawyer with strong M&A and transactional experience who enjoys working closely with business stakeholders in a fast-paced, multi-jurisdictional environment.
The Role
As a trusted advisor to regional leadership, you will play a key role in supporting strategic transactions and day-to-day legal matters across the U.S. and broader Americas region. You’ll be expected to balance legal risk with practical solutions while enabling business growth.
Key Responsibilities
- Support and lead M&A transactions, including due diligence, structuring, negotiation, and integration support
- Draft, review, and negotiate a wide range of commercial agreements (customer, vendor, partnership, and licensing)
- Provide strategic legal guidance to cross-functional teams including Sales, Finance, HR, and Operations
- Advise on corporate governance and entity management matters across the region
- Partner with external counsel and manage legal spend effectively
- Support compliance with applicable U.S. and international regulatory frameworks
- Identify and mitigate legal and commercial risks while enabling business initiatives
- Contribute to the development of legal processes, templates, and best practices
Candidate Profile
- Qualified U.S. lawyer (JD active bar membership)
- 5–10 years’ experience, with a strong emphasis on M&A / corporate transactions
- Background in both private practice and/or in-house environments preferred
- Demonstrated ability to operate in a hands-on, standalone capacity
- Commercially pragmatic, solutions-oriented, and comfortable working cross-functionally
- Experience supporting multi-jurisdictional or international operations is advantageous
- Prior exposure to industrial, manufacturing, or infrastructure sectors is a plus
