I’m partnering with a global investment management platform to identify a Vice President, Legal to support their expanding presence across Latin America and the U.S. This is a high-impact role for a legal professional who thrives at the intersection of cross-border distribution, private funds, and international regulatory frameworks.
🔎 What You’ll Do
In this role, you’ll be a key advisor to the business on complex legal and regulatory matters, including:
- Structuring, drafting, and negotiating agreements with distribution partners across Latin America
- Advising on the offering of investment products (e.g., private funds, structured products) across multiple jurisdictions
- Interpreting and applying U.S. securities laws alongside Latin American regulatory requirements
- Partnering with local counsel across markets including Brazil, Mexico, Chile, Argentina, and others
- Reviewing and drafting fund documentation, including:
- Offering materials
- Partnership agreements
- Side letters and subscription documents
- Supporting client growth initiatives and expansion into new regional markets
✅ What We’re Looking For
- 5 years of experience in fund formation within investment management
- Strong understanding of key U.S. regulations (Investment Company Act, Advisers Act, Securities Acts, FINRA)
- Familiarity with Latin American fund distribution rules and private placement frameworks
- Experience with offshore structures and Regulation D offerings
- Licensed attorney (FL or other U.S. jurisdiction in good standing)
- Background at a law firm, asset manager, or broker-dealer strongly preferred
- Spanish language skills are a plus but not required
